Please read these Terms of Service ("Terms") carefully before using the SpecWise application ("App", "Service") operated by Snap.dev ("we", "us", or "our").

By installing or using our App, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not use our Service.

1. Description of Service

SpecWise is a Shopify application that allows merchants to create and display product specification comparison tables on their storefronts. The App enables merchants to define custom specification fields, populate product data, and present interactive comparison tables to customers.

2. Plans and Billing

SpecWise offers the following plans:

  • Free Plan: Up to 2 comparison tables with up to 5 products per table. Includes a storefront watermark.
  • Pro Plan: $7.99/month (USD) with a 7-day free trial. Includes unlimited tables and products, templates, CSV import/export, specification field groups, auto-populate from metafields, and no watermark.

Billing is handled through the Shopify App Billing API. By subscribing to a paid plan, you authorize Shopify to charge the applicable fees to your Shopify account. You may cancel your subscription at any time through the Shopify admin.

If you do not cancel before the end of your free trial, your subscription will automatically convert to a paid plan.

3. Acceptable Use

By using this App, you agree that:

  • You will use the Service only for its intended purpose of creating and displaying product specification tables
  • You will provide accurate product specification data
  • You will not attempt to abuse, overload, or interfere with the Service
  • You will not use the Service for any illegal purpose
  • You are solely responsible for the accuracy and content of the product specifications you create

4. Intellectual Property

You retain ownership of all product specification data and content you enter into the App. We retain ownership of the App itself, including its design, code, and functionality. You may not copy, modify, or reverse-engineer any part of the App.

5. Data and Content

Product specification data you enter is stored in Shopify metafields associated with your store and products. You are responsible for maintaining backups of your data. We are not responsible for any loss of specification data.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy or reliability of any information obtained through the Service
  • Warranties that the Service will meet your specific requirements
  • Warranties that defects will be corrected

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SNAP.DEV, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, punitive, or exemplary damages
  • Any loss of profits, revenue, data, goodwill, or other intangible losses
  • Any damages arising from your use or inability to use the Service
  • Any damages arising from unauthorized access to or alteration of your data
  • Any damages arising from errors or inaccuracies in product specification data

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

These limitations apply regardless of the legal theory on which the claim is based, including negligence, strict liability, breach of contract, or any other theory.

8. Indemnification

You agree to defend, indemnify, and hold harmless Snap.dev, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Any claim by a third party related to your use of the Service
  • Any claim that content or data you entered into the Service caused damage to a third party

9. Third-Party Services

The App integrates with third-party services including Shopify, Supabase, and Netlify. Your use of these services is subject to their respective terms of service. We are not responsible for the actions or omissions of any third-party service providers.

10. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service at any time without notice or liability. We may also modify these Terms at any time. Continued use of the Service after any modifications constitutes acceptance of the updated Terms.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Snap.dev regarding the Service and supersede any prior agreements.
